HSBC Holdings plc disclosed that on 23 September 2026 it repurchased a total of 3.88 million ordinary shares under the share buy-back programme announced on 5 August 2026, advancing the cancellation of outstanding equity.

Key trade details • UK venues: 3.35 million shares bought at prices between £15.1140 and £15.2720, with a volume-weighted average of £15.1877. • Hong Kong Stock Exchange: 0.53 million shares acquired at HK$157.8000-HK$159.5000, producing a volume-weighted average of HK$158.4112.

Programme-to-date metrics (5 August–23 September 2026) • Shares repurchased: 46.02 million. • Aggregate consideration: US$945.00 million.

Capital structure impact Following cancellation of the shares purchased on UK venues, the issued ordinary share capital and total voting rights stand at 17.14 billion. A separate update will confirm the revised total once the Hong Kong-traded shares are cancelled.

All UK venue transactions were executed as on-exchange market purchases under the Companies Act 2006, while Hong Kong trades were treated as off-market for UK company-law purposes but classified as on-market under Hong Kong Listing Rules and the Codes on Takeovers and Share Buy-backs.
