天鸽互动（01980）8日公告称，按一般要约结束后及截至公告日期，公司公众持股量约为20.85%，低于香港联交所上市规则第13.32B(1)条规定的最低水平，也未能满足第13.32B(2)条所载替代门槛。公司已向联交所申请暂时豁免严格遵守相关规定。
此前，由新浪香港有限公司提出的部分要约因未获不少于3,250万股的有效接纳而于2026年4月13日失效。随着要约失效，天鸽互动董事会不再受收购守则第4条限制。
公司表示，将采取适当措施尽快恢复公众持股量，并承诺不会进行任何可能进一步降低公众持股比例的行动，同时要求董事及其紧密联系人避免采取此类行动。天鸽互动将按上市规则的要求，在豁免申请结果及公众持股量恢复情况有最新进展时另行公告。
