NetDragon posts zero share movements for July 2026, confirms public-float compliance

NetDragon Websoft Holdings Limited released its Monthly Return for the period ended 31 July 2026, showing no changes to either authorised or issued share capital during the month.

Authorised capital remained at 1.00 billion ordinary shares with a par value of USD 0.01, equivalent to USD 10.00 million. Issued shares (excluding treasury shares) were unchanged at 526.10 million, while treasury shares held steady at 5.16 million, keeping total issued shares at 531.26 million.

The company affirmed that it continued to satisfy the Hong Kong Main Board’s minimum 25% public-float requirement as of month-end.

Share-based incentives also saw no activity. Outstanding options totalled 4.20 million—100,000 under the 2008 scheme and 4.10 million under the 2018 scheme—with no exercises and therefore zero shares issued or funds raised from option conversions. No warrants, convertible securities or other share-issuance arrangements were reported.

The filing, signed by Company Secretary Lau Hak Kin on 4 August 2026, confirms full compliance with all Hong Kong Listing Rules and related regulatory obligations.
