On 4 June 2026, UBS AG filed a Rule 22 disclosure under the Hong Kong Code on Takeovers and Mergers, detailing client-driven hedging and index-tracking transactions in ENN Energy Holdings Limited shares executed on 3 June 2026, in connection with the company’s privatisation by scheme of arrangement.

UBS AG, acting as an exempt principal trader connected with the offeree, recorded three separate dealings for its own account:

• Delta-1 product hedging prompted a sale of 37,900 shares for HK$2.02 million at prices ranging from HK$52.90 to HK$53.32.

• Hedging of equity-related products led to a purchase of 600 shares for HK$0.03 million at HK$54.10 per share.

• Pre-existing index-tracking ETF activity resulted in a sale of 5,300 shares for HK$0.28 million, priced between HK$52.80 and HK$53.00.

Aggregating the three trades, UBS AG sold 43,200 shares and bought 600 shares, resulting in a net disposal of 42,600 shares. Gross sale proceeds reached HK$2.30 million, while purchase outflow totalled HK$0.03 million, generating a net cash inflow of approximately HK$2.27 million.

The disclosure confirms that all transactions were wholly unsolicited and undertaken for hedging or index-tracking purposes as ENN Energy progresses through its proposed privatisation process.
