HKET Holdings Releases 2026 AGM Circular: Director Re-elections, PwC Re-appointment and 10% Share Mandates

Hong Kong Economic Times Holdings Limited (HKET Holdings) issued its 2026 AGM circular outlining resolutions to be tabled on 6 August 2026 at 11:00 a.m., 5/F, Kodak House II, North Point, Hong Kong.

Key AGM Proposals 1. Board Composition • Re-election of five directors: Executive Directors Mr Fung Siu Por (Chairman & CEO), Ms Wong Ching (Managing Director & Company Secretary), Mr Lau Chi Ming (Deputy Managing Director), Ms Hui Siu Yee (IT Services Director) and Independent Non-Executive Director Mr O’Yang Wiley. • The Nomination Committee affirmed Mr O’Yang’s independence despite serving over nine years, citing his continued objectivity and expertise.

2. Auditor • PricewaterhouseCoopers will retire and is nominated for re-appointment for FY 2026/27. • Estimated audit fee: HK$2.50 million–HK$2.80 million, subject to no material change in the Group’s operations.

3. General Mandates • Issuance Mandate: Directors may allot and issue up to 10% of issued share capital (maximum 43.16 million shares, based on 431.60 million shares outstanding as at 25 June 2026). • Share Buy-back Mandate: Authority to repurchase up to 10% of issued shares (also up to 43.16 million shares). • Mandates remain effective until the next AGM or earlier revocation.

4. Rationale and Funding for Buy-back • Board views repurchases as a tool to enhance shareholder value when market conditions justify. • Buy-backs will be financed from legally available funds without materially affecting working-capital or gearing levels. • Directors undertake not to reduce public float below 25%.

Timetable & Administrative Details • Shareholders’ register closed 3–6 August 2026 (meeting eligibility) and 17–19 August 2026 (final dividend entitlement). • Proxy forms must reach Tricor Investor Services by 11:00 a.m., 4 August 2026 (48 hours before meeting). • All resolutions will be decided by poll; results to be published on HKEXnews and company website.

If approved, the mandates will give HKET Holdings flexibility for capital management while maintaining compliance with Hong Kong listing and takeover regulations.
