2026年2月5日，上海龙旗科技股份有限公司（HKEX：09611）披露了截至2026年1月31日的股份变动月报表。报告显示，公司本月无新增股份发行、回购或注销活动，整体股本维持稳定。
公司截至本月底的注册股本总额为人民币522,590,644元。其中，H股数量为52,259,100股，面值人民币1元；A股数量为470,331,544股，面值同为人民币1元，总计不含库存股已发行股份数分别为52,259,100股（H股）和469,101,607股（A股）。另有1,229,937股A股在公司回购账户中持作库存股，6,270,000股A股在公司员工持股计划的指定账户中持有。
本月内并无股份期权或其他股权激励计划的授出、行使或失效情况。公司先前通过股东大会批准了可能用于国际包销的超额配股权，最多授予7,838,800股额外H股；另有1,230,000股A股对应公司员工持股计划，但在1月并未实际发行或转让。
公司确认，目前H股公共持股量符合主板上市规则对拥有其他上市股份的中国发行人所适用的持股要求。公司同时声明已遵守香港联合交易所有限公司的相关上市规则和主管法律法规。该公告由联席公司秘书周良梁签署。
