MeiG Smart clarifies ownership chain in RMB285.49 million acquisition of Shanghai property holder

MeiG Smart Technology Co., Ltd. (MEIG) has issued a supplemental announcement to its 28 May 2026 discloseable transaction, under which wholly-owned subsidiary ZhongGe Smart will purchase 100% of the equity in Minhang Investment’s target company—owner of a Shanghai property—for a consideration capped at RMB285.49 million.

The new filing details Minhang Investment’s ownership structure:

• Minhang Investment is wholly owned by Pashmina Holdings S.a.r.l. • Pashmina Holdings is wholly owned by SAVP Leveraged S.a.r.l. • SAVP Leveraged is held 71.9% by SilkRoad Asia Value Parallel Fund SCS SICAV-SIF and 28.1% by Silkroad Asia Value Partners LP, both diversified investment funds with no single limited partner holding 25% or more. • Silkroad Fund Management S.à.r.l and Silkroad GP Limited act as general partners of the two funds and are themselves 100% indirectly controlled by HSBC Holdings plc.

MeiG Smart confirms that Minhang Investment and all of its ultimate beneficial owners are independent third parties with no connected-person relationship to the company. All other terms of the original equity-transfer agreement, including the maximum consideration of RMB285.49 million, remain unchanged.

The board advises shareholders and prospective investors to exercise caution when dealing in the company’s shares.
