Great Wall Motor Company Limited (Great Wall Motor) has implemented a series of senior corporate governance changes effective 24 July 2026. Key points are as follows:
1. Management Movements • Li Hong Shuan has resigned as company secretary due to work re-allocation. She remains an executive director, chief financial officer and authorised representative. • Zhao Guo Qing has stepped down as authorised representative but continues as executive director, vice-chairman and deputy general manager. • Yuan Yuan is appointed secretary to the Board, joint company secretary and authorised representative for a three-year term. • Li Chiao Ling joins as joint company secretary for the same three-year term, supporting Yuan Yuan in company secretarial duties.
2. Professional Background of New Appointees • Yuan Yuan, aged 45, joined Great Wall Motor in February 2023, serving as general manager of securities business. She brings 17 years of investment-banking experience, including senior roles at UBS subsidiaries. Yuan holds bachelor’s and master’s degrees in economics from Tsinghua University and currently owns 59,213 A-shares of the company. • Li Chiao Ling is a member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK). With more than 15 years in corporate secretarial practice, she is a manager at TMF Hong Kong Limited and currently serves other listed clients in Hong Kong.
3. HKEX Waiver Granted Because Yuan Yuan does not yet meet the formal qualification requirements under Rules 3.28 and 8.17 of the Hong Kong Listing Rules, the Stock Exchange has granted a three-year waiver. Conditions stipulate that: • Yuan must be assisted by qualified joint company secretary Li Chiao Ling throughout the waiver period. • The waiver may be revoked upon any material breach of Listing Rules by Great Wall Motor. Before the waiver expires, the company must demonstrate that Yuan Yuan has gained sufficient experience to discharge company-secretary duties independently.
4. Current Authorised Representatives Following the changes, the authorised representatives registered with HKEX are Li Hong Shuan and Yuan Yuan.
The Board expressed gratitude to Li Hong Shuan and Zhao Guo Qing for their past secretarial roles and welcomed Yuan Yuan and Li Chiao Ling to their new positions.
