中银航空租赁有限公司（02588.HK）9月10日公告称，公司已于2026年9月9日与空中客车公司（Airbus S.A.S.）签署协议，拟购买12架空客A320NEO机型，并与Aerovías del Continente Americano S.A. Avianca就该批飞机订立长期租赁协议。交易构成合资格飞机租赁活动。
全部12架飞机计划于2029年交付。公告指出，本次交易的相关百分比率中有一项或多项高于5%但低于25%，因此按照《香港联合交易所证券上市规则》第14.07条界定为须予披露交易。不过，由于交易属于合资格飞机租赁活动，根据上市规则第14.33C条，可豁免刊发通函及取得股东批准。
截至2026年6月30日，中银航空租赁的资产组合涵盖811架/台自有、代管及已订购的飞机和发动机。公司强调，空中客车公司及Avianca均为独立第三方，与公司及其关连人士并无关联关系。
公司董事会确认，交易由一般商业条款订立，属日常及一般业务范畴，条款公平合理，符合公司及其股东整体利益。
