MICROWARE Appoints Kwok Wai as New Auditor

MICROWARE (01985) has announced that it was unable to reach an agreement with Deloitte Touche Tohmatsu regarding the audit fees for the group's consolidated financial statements for the year ending March 31, 2026. This was due to the group's business expansion in China and the additional audit work required for newly acquired associates and financial assets. Consequently, the company requested, and Deloitte agreed to resign as the company's auditor, effective February 23, 2026.

Following a recommendation from the audit committee, the board of directors has resolved to appoint Kwok Wai CPA Limited as the new auditor, effective February 23, 2026. This appointment fills the casual vacancy created by Deloitte's resignation, and Kwok Wai will hold the position until the conclusion of the company's next annual general meeting.

In accordance with Article 155 of the company's articles of association, the board has the authority to fill any casual vacancy in the office of auditor and to determine the remuneration of the appointed auditor. Therefore, an extraordinary general meeting will not be convened for this matter.
