Magnus Concordia (1172) Announces Director Resignation and New Appointment

Magnus Concordia Group Limited (Stock Code: 1172) announced that its Independent Non-Executive Director, Mr. Wang Zhengjun, will step down from his role, effective 1 February 2026. He will also cease to serve as chairman of the Nomination Committee, as well as a member of both the Remuneration Committee and the Audit Committee on the same date. According to the announcement, Mr. Wang has no disagreement with the board, and no matters concerning his resignation need to be brought to the attention of shareholders or the Stock Exchange.

Furthermore, Mr. Zhang Zhirui has been named as an Independent Non-Executive Director, effective 1 February 2026. He will serve as chairman of the Nomination Committee, member of the Remuneration Committee, and member of the Audit Committee. Mr. Zhang, a qualified lawyer since 2010, is currently the supervisor of Sichuan Pinguan Law Firm and has held multiple public-service roles, including membership in the Zigong City Revolutionary Party Municipal Committee.

Mr. Zhang’s service contract spans two years. He will receive a director’s fee of HK$120,000 per annum and will be eligible for re-election at the Company’s next annual general meeting. The board states that Mr. Zhang meets the independence criteria under Rule 3.13 of the Listing Rules. The announcement also confirms there are no other details to be disclosed regarding his appointment.
