Transsion Holdings Sets HK$38.80 Ceiling for Hong Kong IPO, Targets up to HK$3.36 Billion Ahead of 15 October Listing

Shenzhen Transsion Holdings Co., Ltd. (“Transsion Holdings”) has launched its Hong Kong Main Board Global Offering, aiming to sell 86.65 million H shares—comprising 8.66 million Hong Kong Public Offer Shares (10%) and 77.98 million International Offer Shares (90%). The Company has capped the Offer Price at HK$38.80 per H share, implying maximum gross proceeds of approximately HK$3.36 billion before exercise of the 15% Over-allotment Option.

Application Process • Entirely electronic: investors must apply either via the HK eIPO White Form website (www.hkeipo.hk) or through the HKSCC EIPO channel via brokers/custodians. No paper application forms will be provided. • Minimum application: 100 Hong Kong Offer Shares; payment at application based on the HK$38.80 maximum price plus related fees.

Stabilisation & Termination • CLSA Limited will act as Stabilising Manager and may conduct price-stabilising activities for up to 30 days after the close of applications on 11 November 2026. • The Hong Kong Underwriting Agreement can be terminated by the Overall Coordinators up to 08:00 HKT on the listing date if specified events occur.

Listing Approval & Settlement • Listing approval has been sought from the HKEX Listing Committee. • Subject to approval, H shares will be admitted to CCASS for clearing and settlement from the first trading day. • Physical share certificates (for HK eIPO White Form applicants) and CCASS deposits (for HKSCC EIPO applicants) are expected on or before 14 October 2026.

Advisers • Sole Sponsor and Overall Coordinator: China International Capital Corporation (CICC). • Additional Overall Coordinators/Joint Global Coordinators include J.P. Morgan, HTI and Deutsche Bank, alongside several joint bookrunners such as BOCI, CMBC, GF Securities and Daiwa.

With the expected 15 October debut, Transsion Holdings is set to expand its capital base and investor reach through the Hong Kong market, pending final pricing and regulatory approvals.
