修身堂控股有限公司(股份代號：8200)宣布，其全資附屬公司新峰投資(亞洲)有限公司與智城發展控股有限公司(股份代號：8268)訂立貸款協議，根據協議將提供一筆9,000,000港元的貸款，為期48個月。協議顯示，該筆貸款年息11%，按月支付，並可在出現違約事件時應貸款人要求償還。
貸款由位於香港柴灣的一處工業單位作法定押記擔保，該物業面積約3,565平方英呎，市場價值約13,000,000港元。根據公告，借款人可提前還款，前提是需向貸款人發出不少於一個月之書面通知，且無需支付罰金。
修身堂控股主要業務涵蓋提供美容及纖體中心、分銷及銷售化妝和護膚產品、銷售其他保健及美容產品、證券投資以及放債業務。新峰投資(亞洲)有限公司持有有效放債人牌照，所提供的貸款屬其一般及正常業務之一部分。是次交易根據香港聯合交易所有限公司GEM上市規則第19章，因相關適用百分比率超過5%但低於25%，構成須予披露交易，需遵守申報及公告規定。
