ENN Energy Holdings Limited (2688 HK): Privatisation Scheme – Disclosure of Derivatives Dealings

On 9 February 2026, a public disclosure was made regarding the privatisation of ENN Energy Holdings Limited and its shares under a scheme of arrangement. According to Rule 22 of the Hong Kong Code on Takeovers and Mergers, Morgan Stanley & Co. International plc (a Class (5) associate connected with the Offeror) reported several derivatives transactions on 6 February 2026 for its own account. All resultant balances are recorded as zero.

Morgan Stanley & Co. International plc purchased 100 derivatives maturing on 13 November 2026 at a reference price of US$69.1000 for a total of US$6,910. Additional purchases included 2,500 derivatives maturing on 30 September 2027 at US$68.2172 for US$170,543.10, and 5,800 derivatives maturing on 31 December 2027 at US$68.1156 for US$395,070.20. Sales involved 50 derivatives maturing on 14 August 2026 at US$68.4300 for US$3,421.50, 150 derivatives maturing on 1 June 2027 at US$68.4300 for US$10,264.50, 400 derivatives maturing on 22 November 2027 at US$68.4250 for US$27,370.00, 600 derivatives maturing on 2 February 2028 at US$68.3248 for US$40,994.8776, 700 derivatives maturing on 27 October 2027 at US$68.3248 for US$47,827.3621, 1,700 derivatives maturing on 30 July 2027 at US$68.4269 for US$116,325.7691, and 10,000 derivatives maturing on 30 July 2027 at US$68.4269 for US$684,269.23. The ultimate owner of Morgan Stanley & Co. International plc is Morgan Stanley.
