Shanghai Qingpu Fire Safety (08115) has announced an update regarding the company's proposed acquisition of the entire equity interest in Qingda Dongfang Fire Technology Group. All the conditions precedent outlined in the sale and purchase agreement have now been satisfied. The seller and the buyer formally agreed in writing to complete the transaction on January 5, 2026. Following the completion, the Group will hold the entire equity stake of the target group, which will consequently become a wholly-owned subsidiary of the Company. As a result, the financial performance of the target group will be consolidated into the Company's accounts.

According to the terms of the sale and purchase agreement, the Company will settle the payment in the following manner post-completion: RMB 28 million will be paid by the allotment and issuance of 28 million consideration shares to the seller's nominee, Liancheng Fire Safety (Hong Kong) Co., Ltd.; RMB 85 million will be paid through the issuance of convertible bonds to the seller's nominee, Liancheng (Hong Kong); and the remaining balance of RMB 87 million will be settled in cash. On January 5, 2026, the Company has already allotted and issued the 28 million consideration shares and the convertible bonds to the seller's nominee, Liancheng (Hong Kong).
