Netjoy Announces Board and Management Reshuffle; New INED and CEO Named as Trading Suspension Persists

Netjoy Holdings Limited has unveiled significant leadership changes aimed at strengthening governance and operational oversight, effective 21 September 2026.

Independent Non-Executive Director Appointment • Mr Bau Siu Fung, 58, joins the board as an Independent Non-Executive Director (INED) and becomes a member of the Audit Committee. • A certified public accountant (HKICPA, ACCA) with more than 22 years’ audit and finance experience, Mr Bau has held senior finance roles at several Hong Kong-listed companies, including Sheen Tai Holdings, Chen Lin Education and Sirnaomics. • His three-year term carries an annual director’s fee of RMB0.15 million and is subject to standard rotation and re-election requirements.

Re-designation of Chairman • Mr Xu Jiaqing, 38, moves from Executive Director to Non-Executive Director to “optimise the Board composition.” • Xu remains Chairman, Nomination Committee Chair and an authorised representative but steps down as Vice President and Chief Marketing Officer. • He holds 104.28 million shares and underlying shares, representing 13.11% of Netjoy’s issued share capital. His remuneration remains unchanged at RMB0.05 million per month.

Chief Executive Officer Appointment • Executive Director Mr Dai Liqun, 50, becomes Chief Executive Officer while retaining his board seat. • Dai’s fixed monthly pay remains RMB0.02 million; he is also eligible for discretionary bonuses. • Through family-trust arrangements, Dai is deemed interested in 52.98 million shares, equal to 6.66% of issued shares. Including spouse Ms Peng Ting’s options, the couple’s total deemed interest rises to 62.74 million shares and options, or 7.89% of the company.

Audit Committee Update • With Mr Bau’s induction, the Audit Committee now comprises Chairman Mr Chen Changhua and members Dr Ru Liyun, Ms Cui Wen, Ms Zheng Feiyun and Mr Bau Siu Fung.

Ongoing Trading Suspension • Netjoy’s shares have been suspended from trading on the Hong Kong Stock Exchange since 1 April 2025. Suspension will continue until the company satisfies all resumption requirements and meets the exchange’s listing rules.
