China Jicheng (1027) Schedules Extraordinary General Meeting, Proposes Share Option Scheme and Name Change

China Jicheng Holdings Limited (Stock Code: 1027) has issued a notice convening an extraordinary general meeting (EGM) on 19 December 2025 at 11:00 a.m. The meeting will be held at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Central, Hong Kong.

The primary agenda includes an ordinary resolution to approve and adopt a share option scheme, pending the Listing Committee’s approval for the listing of any new shares that may be issued under the scheme. The proposed scheme limit is set at 10% of the total number of issued shares (excluding treasury shares, if any) as of the adoption date.

Additionally, a special resolution will be proposed to change the English name of the company from “China Jicheng Holdings Limited” to “Asia Strategy Digit Technology Holdings Limited,” and to adopt the Chinese name “亞洲策略數字科技控股有限公司” as the dual foreign name, subject to approval by the registrar of Companies in the Cayman Islands. Any director of the company has been authorized to proceed with the necessary steps to implement this name change.

According to the announcement, the register of members will be closed from 16 December 2025 to 19 December 2025 (inclusive). Shareholders intending to attend the EGM must lodge all transfer documents with the Hong Kong branch share registrar and transfer office, Tricor Investor Services Limited, on or before 15 December 2025.
