Doumob to Seek 20% Issuance Mandate, 10% Buy-Back Capacity and Re-elect Four Directors at 26 Jun 2026 AGM

Doumob has issued a circular convening its Annual General Meeting (AGM) for 10:00 a.m. on 26 Jun 2026 in Beijing. Key proposals include fresh authorisations for share issuance and repurchase, re-election of four directors, and re-appointment of the auditor.

Share Authorisations • Issuance Mandate: Directors are seeking authority to allot or transfer up to 0.46 billion new shares—equivalent to 20% of the company’s 2.30 billion issued shares as at the latest practicable date. • Repurchase Mandate: A separate resolution would permit on-market buy-backs of up to 0.23 billion shares, representing 10% of issued capital. Shares repurchased may be cancelled or held as treasury shares. The mandates will run until the next AGM, statutory limit or early revocation.

Directorate Changes • Executive Director and CEO Yuan Limin, Non-executive Director Liu Ailun, and Independent Non-executive Directors Chen Ning and Zhang Limin are retiring by rotation and standing for re-election. The Nomination Committee confirms that both INEDs meet Hong Kong independence criteria.

Auditor • The Board proposes re-appointing BDO Limited as auditor for another year, with audit fees estimated at HK$0.80 million–HK$0.90 million.

Timetable and Voting • Register of members will close from 23 Jun 2026 to 26 Jun 2026; shareholders on record at the close of 26 Jun 2026 may vote. • All resolutions will be decided by poll. Proxy forms must be lodged at Computershare Hong Kong Investor Services no later than 24 Jun 2026.

Capital Structure Snapshot • Issued shares: 2.30 billion (no treasury shares). • Potential dilution if full issuance mandate is used: 20%; potential reduction in float if buy-back mandate is used: 10%.

Governance Note • The circular affirms that any share buy-backs will be financed from legally available funds and conducted within Takeovers Code limits to avoid triggering a mandatory offer.

The Board recommends shareholders vote in favour of all resolutions.
