Progressive Path Group Holdings Limited reported that every resolution tabled at its Annual General Meeting (AGM) on 20 August 2026 was approved by a 100.00% majority of votes cast, underscoring solid shareholder support for the company’s proposed corporate actions and board composition.
All 244.40 million votes lodged—equivalent to 58.92% of the company’s 415.00 million issued shares—were cast in favour of each of the six ordinary resolutions. There were no votes against any proposal.
Key resolutions endorsed:
• FY26 Results: Shareholders adopted the audited financial statements and the reports of the directors and auditor for the year ended 31 March 2026.
• Board Composition: Executive director Mr Wu Wing Hang and independent non-executive directors Ms Tong Sze Sze Cecilia and Mr Du Hanzhi were all re-elected. The Board was authorised to determine directors’ remuneration.
• Auditor Re-appointment: SHINEWING (HK) CPA Limited was re-appointed as external auditor, with the Board authorised to set its remuneration.
• Capital Management: Shareholders granted the Board general mandates to (i) allot, issue and deal with new shares, (ii) buy back shares, and (iii) extend the issue mandate by the number of shares repurchased. Full texts of these mandates are detailed in the AGM Notice dated 21 July 2026.
Governance and Participation:
All directors attended the AGM either in person or via electronic means, and Tricor Investor Services Limited acted as the scrutineer for vote-counting. No shareholder was required to abstain, and no votes were cast against any resolution.
With unanimous approval of the resolutions, Progressive Path Group’s management retains full board support for its operating agenda and capital-structure flexibility in the current financial year.
