果下科技股份有限公司（02655）7月31日发布公告称，因中国光大融资有限公司主要人员变动，公司与中国光大融资有限公司已相互同意终止双方于2025年4月24日签订的合规顾问协议，上述终止自2026年7月31日生效。除公告所披露事项外，董事会与中国光大融资有限公司确认，双方就终止事项并无其他应提请公司股东及香港联合交易所有限公司关注的事宜。\n\n同日，根据香港联合交易所有限公司证券上市规则第3A.27条的规定，果下科技已委任华安证券（香港）融资有限公司为新的合规顾问，任期自2026年7月31日起生效，直至双方签订的相关合规顾问协议根据其条款终止为止。公司计划保留新顾问至不早于寄发公司截至2026年12月31日止年度年报之时，以符合上市规则第3A.19条关于首次上市后首个完整财年财务业绩披露的要求。\n\n截至公告日，果下科技董事会成员包括：执行董事冯立正先生、张晰先生、刘子叶先生、白洋博士、朱帅帅先生及王振淋先生；独立非执行董事钱凯明先生、蒋炜博士及蒋幸男女士。
