CC New Life Seeks Shareholder Approval for 20% Issuance Mandate, 10% Buyback Capacity and Board Refresh at 1 June AGM

Central China New Life Limited (CC New Life) has dispatched a circular dated 20 April 2026 outlining resolutions to be tabled at the annual general meeting scheduled for 10:00 a.m. on 1 June 2026 in Hong Kong.

Key proposals are as follows:

1. Capital Mandates • Share Issuance: Directors are requesting a general mandate to allot and issue new shares up to 20% of the company’s issued share capital on the meeting date, equivalent to roughly 259.83 million shares based on the current 1,299.14 million shares outstanding. • Share Repurchase: A parallel mandate would authorise on-market buybacks of up to 10% of issued capital, or about 129.91 million shares. • Extension Mechanism: The issuance limit may be enlarged by the volume of shares actually repurchased under the buyback mandate.

2. Board Composition Executive director and CEO Mr Yan Xuewen, together with independent non-executive directors Mr Leong Chong and Ms Luo Laura Ying, will retire by rotation and stand for re-election.

3. Governance & Audit • Re-appointment of Prism Hong Kong Limited as external auditor for the 2026 financial year is proposed. • All resolutions will be decided by poll in line with Hong Kong Listing Rules.

4. Meeting Logistics • Register closure: 27 May – 1 June 2026 (both days inclusive). Shareholders on record as of 1 June 2026 are eligible to vote. • Proxy forms must reach Computershare Hong Kong Investor Services by 10:00 a.m. on 30 May 2026.

5. Capital Structure Snapshot • Issued share capital: 1,299,138,000 ordinary shares of HK$0.01 each. • Controlling shareholder: Mr Wu Po Sum, through Enjoy Start Limited, holds 848.09 million shares, representing 65.28% of the total. • Full utilisation of the buyback mandate would raise Mr Wu’s stake to approximately 72.53%, still above the 25% public-float threshold required by the Stock Exchange.

CC New Life’s board recommends shareholders vote in favour of all resolutions, citing routine renewal of mandates and continuity of governance.
