China Wood International Holding Co., Limited has finalised its 1-for-1 rights issue at HK$0.077 per share, issuing a total of 986.90 million new shares. Valid acceptances covered 58.80% of the offer (580.31 million shares), while the remaining 41.20% (406.59 million shares) were successfully placed with at least six independent investors at the same price, leaving no net gain for distribution to non-participating shareholders.
Gross proceeds amount to approximately HK$76.00 million; after expenses, net proceeds stand at about HK$74.00 million. The company plans to deploy the funds as follows: • HK$34.00 million (46.0%) for R&D of food and beverage offerings, including equipment, product testing, and specialist personnel. • HK$8.00 million (10.8%) for marketing and promotion of the new food and beverage business. • HK$6.00 million (8.1%) for marketing initiatives in the wood-related segment. • HK$26.00 million (35.1%) for general working capital, covering inventory, operating expenses, and a contingency buffer.
The share capital structure has shifted materially. Right Momentum, wholly owned by Mr. Lyu, remains the largest shareholder with 904.39 million shares, maintaining its 45.82% stake. Newly placed investors now hold 406.59 million shares, representing 20.60% of the enlarged 1.97 billion-share base. Other public shareholders account for the remaining 33.58% (662.82 million shares).
All conditions for the rights issue and compensatory placement were fulfilled on 9 September 2026. Fully-paid rights share certificates are scheduled for dispatch on 15 September 2026, and trading of the new shares will commence on the Hong Kong Stock Exchange at 9:00 a.m. on 16 September 2026.
