Meituan Adds 0.15 Million ESOP Shares, Repurchases 1.46 Million for HK$99.77 Million

Meituan disclosed post-closing share movements to the Hong Kong Stock Exchange (HKEX) on 29 June 2026, detailing a modest issuance under its employee scheme and a sizeable on-market buyback executed the same day.

The company issued 146,956 Class B weighted-voting-right shares to non-director employees exercising options granted under the pre-IPO incentive scheme. The allotments were made on 2 June (50,000 shares at HK$40.64 each), 3 June (6,761 shares at HK$18.12), and 22 June (90,195 shares at HK$15.98). The new shares represent 0.0024 % of Meituan’s previously outstanding share base of 6.17 billion shares. Consequently, the Class B share count rose from 5.595 billion to 5.596 billion, lifting total issued shares to 6.175 billion (excluding treasury shares).

Separately, on 29 June 2026 Meituan repurchased 1,462,700 Class B shares on the HKEX at prices ranging from HK$66.50 to HK$69.00, for an aggregate consideration of HK$99.77 million. These shares, equal to 0.024 % of outstanding shares at the time of mandate approval, are earmarked for cancellation.

Shareholders had authorised the current buyback mandate on 26 June 2026, permitting repurchases of up to 617.48 million shares. To date, 1.46 million shares have been bought under this mandate. Following the latest activity, Meituan is subject to a 30-day moratorium—until 29 July 2026—on announcing or conducting new share issues or treasury-share sales.

If the repurchased shares are fully cancelled, the company’s issued share capital will decline on a net basis by approximately 1.32 million shares, or about 0.02 % of the pre-transaction total.
