Beisen Holding Limited filed a Next Day Disclosure Return to the Hong Kong Stock Exchange on 13 October 2026, detailing marginal adjustments to its share capital through a small-scale share repurchase and a minor option exercise.

The company repurchased 130,600 ordinary shares on 13 October 2026 via on-market transactions at prices ranging between HKD 3.15 and HKD 3.20, for an aggregate consideration of HKD 0.42 million. All repurchased shares have been retained as treasury shares.

Concurrently, 10,000 new ordinary shares were allotted under the Pre-IPO Share Option Plan (adopted on 15 July 2019) at an issue price of HKD 0.00008 per share.

As a result, outstanding shares (excluding treasury stock) decreased by 120,600 to 715.42 million, representing a 0.018% reduction from the previous day. Treasury shares rose to 22.72 million, while total issued shares inched up by 10,000 to 738.14 million.

The buyback forms part of the repurchase mandate approved on 17 September 2026, which authorises the company to repurchase up to 71.92 million shares. Cumulative repurchases under this mandate now stand at 3.89 million shares, equivalent to 0.54% of the company’s issued share capital on the mandate date.

Under Hong Kong Listing Rules, Beisen is restricted from issuing new shares or disposing of treasury shares until 12 November 2026, a 30-day moratorium following the latest repurchase.
