Shui On Land Schedules 27 May 2026 AGM, Seeks 10% Share Issue and Repurchase Mandates

Shui On Land Limited will convene its annual general meeting (AGM) on Wednesday, 27 May 2026, at 3:00 p.m. in the Concord Room I, 8th Floor, Renaissance Harbour View Hotel, 1 Harbour Road, Wan Chai, Hong Kong.

Key ordinary resolutions to be tabled include:

1. Financial Statements • Adoption of the audited financial statements and accompanying directors’ and independent auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of four directors: Ms. Stephanie B. Y. Lo, Mr. Albert K. P. Ng, Mr. Anthony J. L. Nightingale and Mr. Clement K. M. Kwok. • Authorisation for the board to determine directors’ remuneration.

3. Auditor • Re-appointment of the incumbent auditor and authorisation for the board to fix its remuneration.

4. Share Capital Authorities • General mandate permitting the board to issue and allot new shares representing up to 10% of the company’s issued share capital (excluding treasury shares) as at the date of approval. • General mandate allowing the repurchase of up to 10% of the issued share capital (excluding treasury shares). • Extension of the share-issue mandate by the number of shares repurchased under the above buy-back authority.

Proxy Arrangements Shareholders wishing to vote by proxy must lodge the completed form, together with any supporting authority, no later than 3:00 p.m. on 25 May 2026 (48 hours before the meeting) at either of the following locations: • Shui On Land’s Hong Kong office: 34/F, Shui On Centre, 6-8 Harbour Road, Wan Chai, Hong Kong; or • The company’s Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited: 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong.

The proxy need not be a shareholder but must attend the AGM in person to vote. Completion and return of the proxy form do not preclude a shareholder from attending and voting in person; in such cases, previously submitted proxy instructions will be deemed revoked.
