Central Development Holdings Limited (CENTRAL DEV H) has issued a circular convening its Annual General Meeting (AGM) for 10 September 2026 at 10:00 a.m. in Hong Kong.

Key Resolutions 1. Capital Management • Repurchase Mandate: Directors request authority to buy back up to 49.96 million shares, representing 10.00% of the 499.58 million shares in issue as at 16 July 2026. • Issuance Mandate: Authority sought to issue up to 99.92 million new shares, equal to 20.00% of issued capital, with an extension for shares repurchased under the buy-back mandate. • Any repurchased shares may be cancelled or held as treasury stock in line with Listing Rules and Cayman Islands law.

2. Board Composition • Re-election: Executive directors Wu Hao and Hu Yangjun, and independent non-executive director Zhong Yingjie, Christina, stand for re-election. • Departure: Executive director Tang Shukuan will step down after the AGM to focus on other commitments.

3. Auditor • Prism Hong Kong Limited is proposed for re-appointment. The agreed audit fee for FY 2026/27 is set at HK$0.75 million.

Timetable • Share register closure for AGM eligibility: 7–10 September 2026 (both days inclusive). • Proxy forms must be lodged at Tricor Investor Services by 10:00 a.m. on 8 September 2026.
