华润燃气控股有限公司（「华润燃气」，股份代号：01193）公告称，拟在即将召开的股东周年大会上向董事会授予一般授权，以在法律许可及香港联合交易所有限公司上市规则规范下，于香港联交所回购不超过公司已发行股份（不包括库存在外股份，下同）总数10%的股份。根据公告，按最后实际可行日（2026年4月22日）公司已发行股本2,314,012,871股计算，最多可回购约231,401,287股，该授权有效期将持续至下届股东周年大会结束或由股东提早撤销之日前。
公告称，回购资金将依据百慕达相关法律以及公司细则，由公司可合法用于股份回购的资源拨付。董事会认为，合适时行使回购股份的授权有助于提升公司及其资产的净值和每股收益，符合公司与股东的整体利益。
过去十二个月内，华润燃气于市场价格区间为每股18.48港元至每股23.65港元之间进行过多次股份回购，公司亦表示将严格遵守适用法规及上市规则的相关要求执行回购计划。董事会建议股东于2026年5月28日的股东周年大会上审议并表决该回购授权。
