MOBI Development Schedules 29 May 2026 AGM; Share Issuance Mandate up to 20% and Articles Revision on Agenda

MOBI Development Co., Ltd. will convene its annual general meeting (AGM) at 10:00 a.m. on 29 May 2026 at the MOBI Technology Building, Guangming District, Shenzhen. Key resolutions to be tabled are as follows:

1. FY2025 Financial Statements and Reports • Shareholders will be asked to receive and consider the audited consolidated financial statements of the Company and its subsidiaries, together with the directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board and Auditor Matters • Re-election of retiring directors and authorisation for the Board to fix directors’ remuneration. • Re-appointment of Deloitte Touche Tohmatsu as external auditor and authorisation for the Board to determine its remuneration.

3. General Mandates on Share Capital • Share Issue Mandate: Authorisation for the Board to allot, issue or grant rights over additional shares up to 20% of the Company’s issued share capital as at the date of the AGM, with power to make or grant offers, agreements or options that may be exercised after the mandate period. • Share Repurchase Mandate: Authority to repurchase shares on the Hong Kong Stock Exchange or other recognised exchanges, capped at 10% of the issued share capital as at the AGM date. • Extension Mandate: Conditional on the above mandates being approved, any shares repurchased under the repurchase mandate may be added to the 20% issue mandate, effectively increasing the issuance limit by up to a further 10%.

4. Constitutional Amendments • Shareholders will vote on adopting a Third Amended and Restated Memorandum and Articles of Association, incorporating a series of proposed amendments outlined in the Company’s circular dated 24 April 2026.

5. Key Administrative Details • Register of Members closure: 26–29 May 2026 (both days inclusive); record date: 29 May 2026. • Share transfers for AGM eligibility must be lodged by 4:30 p.m. on 22 May 2026 with Computershare Hong Kong Investor Services Limited. • Shareholders are entitled to appoint one or more proxies to attend and vote.

The Board currently comprises Executive Directors Hu Xiang (Chairman), Zhou Lingbo and Ye Rong; Non-executive Director Qu Deqian; and Independent Non-executive Directors Li Tianshu, Zhang Han and Ge Xiaojing.
