China Cultural Tourism and Agriculture Group Wins 100% Shareholder Approval on All 2026 AGM Resolutions

China Cultural Tourism and Agriculture Group Limited (CN Cultural Tourism and Agriculture) secured unanimous shareholder support for every item tabled at its 2 June 2026 annual general meeting, according to poll results released by the company.

Turnout and Voting Overview • Votes cast: 903.26 million shares, representing approximately 59.01% of the 1.53 billion shares entitled to vote (excluding 6.50 million treasury shares). • Each of the nine ordinary resolutions received 100.00% of votes in favour and zero votes against.

Key Resolutions Approved 1. 2025 Financial Statements & Reports – Shareholders adopted the audited financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025. 2. Board Composition – Re-election of five directors: • Executive Director: Mr Tam Ka Wai • Non-Executive Director: Mr Wong Yuk Lun, Alan • Independent Non-Executive Directors: Ms Chan Hoi Ling, Mr Tsang Ho Pong • Directors’ remuneration will continue to be set by the Board. 3. Auditor – CCTH CPA Limited was re-appointed as external auditor for the ensuing year, with the Board authorised to determine remuneration. 4. Capital Mandates – Shareholders granted the Board: • A general mandate to issue new shares up to 20% of issued share capital. • Authority to repurchase up to 10% of issued shares. • An extension to the issue mandate equivalent to shares repurchased under the repurchase mandate.

Meeting Attendance and Administration Chairman Mr Yang Lijun and Executive Director Mr Tam Ka Wai attended the AGM in person, while other directors participated electronically. Tricor Investor Services Limited acted as scrutineer for the poll.

With all resolutions passed unanimously, the Board retains full mandate flexibility for share issuances and buy-backs, renewed auditor engagement, and a stable governance structure for the forthcoming financial year.
