金辉集团有限公司（Jinhui Holdings Company Limited，股份代号：137）公布，其间接附属公司（持股约55.69%）2025年11月24日（交易时段结束后）与买方订立协议，以10,300,000美元（约80,340,000港元）出售所属超灵便型散装货船。根据协定，该船舶将于2025年12月1日至2026年2月28日期间交付。
根据公告，买方需于签订协议后三个银行工作天内支付首期订金1,030,000美元（约8,034,000港元），于交付前两个银行工作天内支付第一期款项4,270,000美元（约33,306,000港元），余下5,000,000美元将分十二期每季支付，并加计年利率7.50%的利息。为保障履约，买方需要签订香港船舶抵押契约及其他担保文件。
该船舶建造于2008年，原账面净值截至2025年9月30日约为84,688,000港元。交易完成后可能带来约4,400,000港元的账面亏损，具体数额需根据交付时的实际账面净值及相关出售成本确定。出售所得款项净额将用于一般营运资金，包括偿还短期借贷和相关债务，以改善流动资金状况和财务结构。
由于适用百分比率高于5%但低于25%，此次出售根据上市规则第14章构成须予披露交易，须遵守相关通报及公告规定。董事会认为该交易条款公平合理，不会对集团整体运营造成重大不利影响。
