Shenglong Intl Secures HKEX Waiver; Circular on Hangzhou Land Purchase Deferred to 31 July 2026

Shenglong Splendecor International Limited (Shenglong Intl) announced that Hong Kong Exchanges and Clearing Limited has approved the Group’s application for a further extension in dispatching the shareholder circular relating to its major transaction—the acquisition of a land-use right in Lin’An District, Hangzhou, Zhejiang Province.

The circular, required under Rule 19.41(a) of the GEM Listing Rules, was originally scheduled for release on or before 22 June 2026. Owing to additional time needed to finalize the property valuation, indebtedness statement and working-capital forecast, Shenglong Intl requested a waiver for the delay. The Stock Exchange granted the waiver on 22 June 2026, permitting an extended deadline of 31 July 2026. The exemption applies solely to this transaction; HKEX reserves the right to amend or withdraw the waiver should circumstances change.

The pending circular will provide full details of the land acquisition, first disclosed on 6 May 2026, along with other information mandated by GEM Listing Rules. Shenglong Intl’s board currently comprises three executive directors—Mr. Sheng Yingming (Chairman and CEO), Mr. Fang Xu and Ms. Sheng Sainan—and three independent non-executive directors—Mr. Ma Lingfei, Mr. Tso Ping Cheong Brian and Mr. Zheng Yong.
