Singapore, January 30, 2026 – Raffles Education Limited (NR7) has expanded its share base after bondholders opted to convert S$256,677 of the company’s outstanding convertible bonds into equity.\n\nThe conversion, completed on January 28, 2026, was executed at the stipulated conversion price of S$0.065 per share, resulting in the allotment of 3,948,876 new ordinary shares. Following the issuance, the company’s issued and paid-up capital rose to 1,534,676,741 shares from 1,530,727,865 shares previously.\n\nConcurrent with the share issue, the principal amount of Raffles Education’s outstanding convertible bonds decreased to S$39.14 million from S$39.40 million. All newly issued shares rank pari passu with existing ordinary shares.\n\nThe Singapore Exchange has approved the listing and quotation of the conversion shares on the Mainboard, and trading is scheduled to commence at 9:00 a.m. on February 2, 2026.\n\nThe convertible bonds were originally issued under a trust deed dated August 30, 2022, as part of a rights issue and placement exercise aimed at strengthening the group’s capital structure.
