Li Auto Inc. disclosed that on 14 September 2026 it repurchased 119,600 Class A WVR ordinary shares on the Hong Kong Stock Exchange, paying between HK$46.44 and HK$47.00 per share. The volume-weighted average price was HK$46.83, bringing the total cash outlay to HK$5.60 million.
Following the transaction, the company’s outstanding share count (excluding treasury shares) decreased from 1,721.31 million to 1,721.19 million, a reduction of 0.0069%. All repurchased shares were moved into treasury, lifting the treasury-share balance to 97.13 million, while the total issued share capital remained unchanged at 1,818.33 million.
The buyback was executed under the repurchase mandate authorised by shareholders on 29 May 2026, which permits Li Auto to repurchase up to 214.28 million shares. Cumulative repurchases under this mandate now stand at 77.54 million shares, representing 3.62% of the issued share base on the mandate date. In line with Hong Kong listing rules, Li Auto is subject to a moratorium on new share issues or treasury-share sales until 14 October 2026.
The joint company secretary, Wang Yang, confirmed that the repurchase complied with Main Board Rule 10.06 and that no material changes have occurred in the company’s previously filed explanatory statement.
