Glory Flame Holdings Limited has issued a revised form of proxy for its upcoming annual general meeting (AGM) scheduled for 10:00 a.m. on 26 June 2026 at OfficePlus@SheungWan, Hong Kong. Shareholders who intend to vote by proxy must submit the new form—superseding any previously lodged proxy—no later than 48 hours before the meeting.
Key items to be decided are:
1. FY-2025 Financial Statements • Adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports.
2. Auditor Re-appointment • Renewal of McMillan Woods (Hong Kong) CPA Limited as external auditor, with the board authorised to determine its remuneration.
3. Board Composition • Re-election of one executive director (Mr Zhong Zhiwei) and two independent non-executive directors (Mr Choi Chi Wai and Mr Lam Pang). • Authorisation for the board to set directors’ remuneration.
4. Share Issuance and Repurchase Mandates • General mandate permitting the board to issue, allot or otherwise deal with new shares— including disposal of treasury shares—up to 20% of the company’s issued share capital as at the approval date. • Authority to repurchase up to 10% of issued shares. • Extension of the issuance mandate by the amount of shares actually repurchased.
5. Capital Reorganisation (Special Resolution) • A three-step exercise comprising: a) Share consolidation; b) Capital reduction; and c) Share sub-division. • Approval of this restructuring aims to optimise the capital structure; detailed terms are contained in the AGM notice dated 5 June 2026.
Administrative Notes • Only the revised proxy form will be accepted; any earlier form is void. • Shareholders may attend and vote in person, appoint the chairman or another proxy, and allocate votes per shareholding. • Joint holders’ voting rights will follow seniority on the register.
The AGM outcomes will determine the composition of Glory Flame’s board, confirm auditor continuity, authorise routine capital mandates, and potentially usher in a comprehensive capital reorganisation.
