Simplicity Holding Limited reported a sharp deterioration in performance for the financial year ended 31 March 2026, underscored by a contraction in revenue and a widened net loss amid continued pressures on its core businesses.

Financial highlights • Revenue fell 27.06% year on year to HK$71.31 million (FY2025: HK$97.76 million), driven by a contraction across all operating segments. • Net loss attributable to shareholders expanded to HK$30.54 million from HK$20.85 million a year earlier. • Basic and diluted loss per share increased to HK cents 40.28 (FY2025: HK cents 34.48). • No final dividend was declared, unchanged from the prior year. • The Group moved into a net liabilities position of HK$10.53 million versus net assets of HK$17.54 million at end-FY2025, reflecting accumulated losses and asset impairments. • Cash and cash equivalents stood at HK$3.97 million, while current liabilities totalled HK$33.59 million, resulting in net current liabilities of HK$17.31 million.

Segment performance • Aircraft engine stand repair, maintenance and related logistics remained the dominant contributor, generating HK$61.20 million (85.8% of total revenue) but down 21.1% year on year. • Thai cuisine outlets posted HK$8.36 million (11.7% of total), a 13.8% decline. • Chinese cuisine revenue plunged 89.8% to HK$0.91 million following site closures, while Malaysian cuisine ceased operations entirely. • Food ingredients and beverage sales (mainly wine) rose to HK$0.82 million, up 156.3%. • A new agricultural-products agency business recorded HK$0.03 million in its first year.

Cost dynamics and impairments • Raw materials and consumables dropped 45.6% to HK$25.86 million, tracking lower subcontracting spend for engine-stand projects. • Staff costs fell 42.8% to HK$12.03 million after head-count reductions in catering units. • Other expenses surged 45.8% to HK$36.44 million, pressured by higher transportation outlays linked to logistics services. • The Group recognised HK$11.72 million in goodwill impairment and HK$4.06 million in intangible-asset impairment as recoverable amounts declined.

Liquidity and going-concern risk Auditors flagged a material uncertainty over the Group’s ability to continue as a going concern, citing recurring losses, negative equity and limited cash reserves. To bolster liquidity, Simplicity secured an 18-month loan facility of up to HK$25 million on 30 June 2026 (HK$20 million available in the first 12 months, HK$5 million thereafter). Management is also pursuing rent concessions, cost controls, supplier renegotiations and targeted marketing to stabilise operations.

Capital structure and commitments Total borrowings (bank and others) were HK$1.60 million current and HK$0.47 million non-current at end-March 2026, with no pledged assets, material capital commitments or contingent liabilities reported.

Outlook Facing ongoing challenges in both catering and aviation service segments, Simplicity plans to maintain a conservative operating stance, focus on cost containment and refine its business mix while leveraging the new credit facility for working-capital support.
