3月31日， 中证国际发布公告称，公司已与卖方签署收购协议补充协议，将收购目标公司全部股权及股东贷款交易的最后截止日期由原定的2026年3月31日延长至2026年6月30日，或公司与卖方可能书面协定的其他日期。\n\n根据此前签订的收购协议，如相关先决条件未能在最后截止日期前获达成或获豁免，收购协议将失效，双方在协议项下的权利及义务随之终止（先前的违约责任除外）。\n\n公司指出，延长截止日期旨在为满足交易条件争取更多时间；除期限调整外，收购协议的其他条款与条件保持不变并继续有效。\n\n公告同时提醒，交易能否完成仍取决于先决条件的达成，无法保证最终顺利落实；公司股东及潜在投资者在买卖公司股份或任何相关证券时需保持审慎态度。\n\n截至公告日，董事会由两名执行董事（谭立维、刘力扬）、一名非执行董事（Lim Kim Chai，太平绅士）及四名独立非执行董事（侯志杰、梁志雄、李汉权、杨纫桐）组成。
