佰悦集团(08545)发布公告，将于2026年8月14日召开股东周年大会，并拟向与会股东寻求授权于指定期间内回购不超过已发行股本总面值10%的股份，相当于约1,192,307,692股中最多119,230,769股。该公司主要在香港联交所GEM上市。
根据公告，此次授权若获股东通过，董事会可在公司法及上市规则允许范围内，使用内部资金进行股份购回。董事会认为，股份购回有助于在适当市场环境下稳定股价，提升每股资产净值和每股盈利水平，并符合公司及股东整体最佳利益。过往12个月，佰悦集团于2026年7月最高股价为每股0.042港元、最低0.037港元。
董事会提醒，如回购股份提案顺利通过，将在2026年股东周年大会结束后生效。公司股东登记册将在2026年8月11日至8月14日(含首尾两日)期间暂时关闭，股东需在2026年8月7日下午4时30分前完成股份过户以获取参会及投票资格。公告显示，除购回股份授权外，公司亦将就其它事项提交大会审议。此次购回资金将根据开曼群岛有关法律法规及联交所上市规则于合规范围内安排。
