医渡科技（02158）日前公告，董事会将于2026年8月28日举行股东周年大会，拟寻求股东授权，于大会通过相关普通决议当日已发行股份总数（不包括库存股）的10%范围内进行股份回购。于最后实际可行日期，公司已发行股份（不包括库存股）合计1,019,956,095股，若获股东正式批准，最高回购股份将约为101,995,609股。
公司表示，回购所需资金将根据开曼群岛公司法和香港联合交易所有限公司证券上市规则，由其合法可使用的资金自行拨付。董事会认为，此举有助于提升股东回报，有利于提高每股价值并优化资本结构，符合公司及股东的整体最佳利益。
公告显示，过去一年间，医渡科技股份曾在香港联交所录得的最高交易价约为每股港币7.24元，最低价格约为每股港币4.05元。公司董事会计划在市况许可及资金充裕的前提下适时实施回购。根据议程，公司将于2026年8月25日至8月28日暂停办理股份过户登记，以确定股东大会的出席资格。股东若有意出席大会并行使投票权，需于2026年8月24日16时30分前完成过户手续。上述回购授权如获通过，将在股东周年大会结束时生效。
