On 4 August 2026, Sichuan Kelun-Biotech Biopharmaceutical Co., Ltd. (SKB BIO) signed the BOC Structured Deposit Agreement III, subscribing RMB 400.00 million of principal-guaranteed, floating-return wealth management products issued by Bank of China (BOC). The investment begins on 6 August 2026 and matures on 18 February 2027, spanning 196 days.
The product offers an annualised floating yield of either 0.80% or 1.925%, linked to the USD/JPY spot rate quoted on Bloomberg’s “JPY Curncy QR” page. Neither party has an early-termination right except under force majeure or material regulatory changes, and both principal and return will be paid in a lump sum at maturity.
Including this latest subscription, SKB BIO’s outstanding balance in BOC wealth management products rises to RMB 1.10 billion, comprising: • RMB 300.00 million under the April 2026 agreement, • RMB 400.00 million under the June 2026 agreement, and • RMB 400.00 million under the August 2026 agreement announced today.
The aggregate size exceeds 5% but remains below 25% of the relevant percentage ratios stipulated in Hong Kong Listing Rules, classifying the transactions as discloseable and requiring public reporting.
Funding for the subscription comes entirely from the group’s idle internal funds; no proceeds from the company’s IPO or subsequent H-share placements (May 2024, June 2025, July 2026) or domestic share issuance (December 2024) were used.
The board views the principal-protected structure, short tenor and above-deposit yields as an efficient deployment of surplus cash, deeming the terms fair and in the interests of all shareholders.
