SHUOAO INTL Sets 23 June 2026 AGM, Proposes 20% Issuance Mandate and 10% Share Buy-back Limit

Shuoao International Holdings Limited (SHUOAO INTL) will convene its Annual General Meeting on 23 June 2026 at 10:00 a.m. at 10/F, Ruttonjee House, Central, Hong Kong.

The agenda covers five key resolutions:

1. Adoption of the audited consolidated financial statements and reports for the year ended 31 December 2025.

2. Re-election of three directors—Executive Directors Dr. Jin Xiaozheng and Ms. Ji Siyi, and Independent Non-executive Director Mr. Chiu King Yan.

3. Authorisation for the board to determine directors’ remuneration.

4. Re-appointment of ZHONGHUI ANDA CPA Limited as auditor for the fiscal year ending 31 December 2026, with the board empowered to set its fee.

5. Capital mandates: • General mandate to allot, issue or deal with shares—capped at 20% of the company’s issued share capital, excluding treasury shares, as at the AGM date. • Repurchase mandate permitting buy-backs of up to 181.59 million shares, equivalent to 10% of issued shares, with automatic adjustment should any share consolidation or subdivision occur. • Extension mandate allowing the issuance limit to be increased by the number of shares repurchased under the 10% mandate, effectively lifting the potential issuance headroom to 30% of current issued capital.

Key administrative dates: the register of members will be closed from 17 June to 23 June 2026 (both days inclusive), with 23 June 2026 set as the record date for shareholder voting eligibility. Proxy forms must be lodged by 10:00 a.m. on 21 June 2026.

The board currently comprises three Executive Directors—Chairman Mr. Feng Luming, Chief Executive Officer Ms. Ji Siyi and Dr. Jin Xiaozheng—and three Independent Non-executive Directors—Dr. Chan Wing Mui Helen, Mr. Chiu King Yan and Mr. Wang Cheung Yue.
