Tomson Group AGM: All Resolutions Cleared, Secures 10% Buy-back and 20% Issuance Mandates

Tomson Group Limited reported that every resolution tabled at its Annual General Meeting on 4 June 2026 was approved by poll, cementing fresh mandates for share buy-backs and new issuances while confirming board and auditor appointments. All directors either attended in person or joined electronically, and Tricor Investor Services acted as scrutineer.

Key governance approvals • Adoption of the 2025 audited consolidated financial statements passed with 1.70 billion votes in favour (99.99%). • Chair-managing director Madam Hsu Feng and independent non-executive director Mr Ng Chi Him were re-elected with 99.99% and 99.999% support, respectively. Director fee authorisation received 99.999% approval. • Deloitte Touche Tohmatsu was re-appointed as external auditor until the next AGM, with a remuneration cap of HK$3.65 million (plus expenses); the motion passed with 99.58% support (1.69 billion votes for, 7.17 million against).

Capital management mandates • Shareholders granted the board authority to repurchase up to 10% of issued shares (excluding treasury shares), backed unanimously by the 1.69 billion votes cast (100% in favour). • A parallel mandate permits issuance of new shares and/or disposal of treasury shares up to 20% of the issued share capital; this resolution attracted the highest—though still minor—level of dissent, with 99.26% approval (1.68 billion for, 12.61 million against). • An additional resolution allowing any repurchased shares to be added to the issuance mandate won 99.56% support.

Participation snapshot The total share capital eligible to vote stood at 2.26 billion shares, and none were subject to voting restrictions or compulsory abstention. Dissent across all six resolutions remained minimal, underscoring broad shareholder backing of the board’s strategic and governance agenda.
