Xunfei Healthcare Technology (2506) Announces Revised Caps for Continuing Connected Deals

Xunfei Healthcare Technology Co., Ltd. (Stock Code: 2506) issued a circular dated October 20, 2025, detailing proposals to revise annual caps under two existing continuing connected transaction agreements with its controlling shareholder iFLYTEK. The affected agreements are the Services and Products Procurement Framework Agreement and the Bidding Cooperation Framework Agreement, both expiring on December 31, 2026.

According to the circular, the proposed revisions mainly address anticipated higher transaction volumes for 2025 and 2026. For the Services and Products Procurement Framework Agreement, the revised annual caps are RMB130.0 million for 2025 and RMB160.0 million for 2026, raised from the existing caps of RMB97.0 million and RMB113.0 million. Under the Bidding Cooperation Framework Agreement, the caps will increase from RMB32.0 million and RMB30.0 million to RMB110.0 million and RMB130.0 million, respectively. The circular attributes these revisions to expanded demand for computing resources, larger-scale AI model upgrades, and additional project bidding opportunities.

A first extraordinary general meeting is scheduled for November 10, 2025, at 10:00 a.m., where shareholders will vote on these proposed revisions. As the controlling shareholder, iFLYTEK will abstain from voting. Shareholders who intend to attend should note the relevant proxy arrangements and the book closure period set out in the circular.
