SWHY (06806.HK) Extraordinary General Meeting Approves Election of Fang Rongyi as Executive Director

Shenwan Hongyuan Group Co., Ltd. (stock short name: SWHY, stock code: 06806.HK) announced that its first extraordinary general meeting (EGM) of 2026, held on 10 March 2026 in Beijing, passed the sole resolution to elect Mr. Fang Rongyi as an executive director of the sixth session of the board.

The poll drew 1,319 shareholders and proxies, representing 16.23 billion voting shares, or 64.82 % of the company’s 25.04 billion issued shares. A-share investors accounted for 63.26 % of the total voting rights, while H-share holders contributed 1.56 %.

Voting results were decisive: • For: 16.20 billion shares (99.79 %) • Against: 32.35 million shares (0.20 %) • Abstain: 2.04 million shares (0.01 %)

As the ordinary resolution received more than half of the votes cast, Mr. Fang’s appointment became effective immediately on 10 March 2026 and will run until the end of the board’s sixth session, with eligibility for re-election thereafter. The company confirmed that no changes have occurred in Mr. Fang’s disclosed biographical details since the circular dated 12 February 2026.

Jia Yuan Law Offices, acting as legal adviser, affirmed that the meeting’s convening, procedures, and voting were compliant with PRC laws and the company’s articles of association.
