九毛九国际控股有限公司(股票代码：9922)于2026年2月27日发布公告，披露完成收购Big Way Group Inc.部分A类优先股的交易。交易包括以2,800万美元认购48,204,438股A类优先股，以及以1,500万美元向多名现有股东购买合计25,823,805股同类优先股。两项合计对价达4,300万美元。
完成后，九毛九国际控股有限公司将持有约49.0%的Big Way Group A类股份，在投票权中占比约10.8%，并拥有约49.0%的经济权益。收购资金来源于公司内部资源及银行贷款。本次交易不涉及将目标公司纳入合并财务报表，目标公司未来亦不会成为其附属公司。
公告显示，九毛九国际控股有限公司曾于2025年7月18日以400万美元收购了Big Way Group约10%的股权。由于该早前投资与当前交易均在12个月内完成，根据上市规则规定，需要合并视为一系列交易。合并后所得最高适用百分比率介于5%至25%之间，因而构成须予披露交易，但豁免股东批准程序。
Big Way Group在北美以“Big Way Hot Pot”品牌运营连锁餐饮业务，目前已在大温哥华、多伦多及加州地区开设21家餐厅，主打个性化的自选式火锅体验。交易完成后，九毛九国际控股有限公司将通过Big Way Group及相关实体持有这项火锅业务约49.0%的参与权益。公司董事会认为，这一收购条款公平合理，符合整体利益。
