Zhuguang Holdings pledges Silver Grant stake to secure US$0.21 billion senior notes

Zhuguang Holdings Group Company Limited (Zhuguang Holdings) announced that controlling shareholder Rong De has executed a share charge and custodian deed over 679.89 million ordinary shares of Silver Grant International Holdings Group Limited.

The pledge, dated 31 March 2026, grants The Bank of New York Mellon, Hong Kong Branch—acting as security agent—a security interest in Rong De’s entire stake in Silver Grant to back Zhuguang Holdings’ outstanding 36-month senior notes with an aggregate principal of US$0.21 billion. ABCI Securities Company Limited has been appointed safekeeping agent under the custodian deed.

Any breach of either the share charge or the custodian deed constitutes an event of default under the senior notes’ terms and conditions. The arrangement is disclosed pursuant to Rule 13.18 of the Hong Kong Listing Rules.

The Board of Zhuguang Holdings presently comprises six executive directors and three independent non-executive directors. The announcement was authorised by Chairman Chu Hing Tsung on 31 March 2026.
