中海油田服务股份有限公司（02883，主要于香港联合交易所上市）日前发布公告，董事会通过一般性授权，拟在A股和H股市场进行股份回购，回购上限分别不超过已发行A股与H股各自总数的10%。据公告显示，截至2025年12月31日，公司总股本为4,771,592,000股，其中A股2,960,468,000股，H股1,811,124,000股，回购将以不超过上述已发行股份的10%为限度。
本次股份回购所涉资金来源为公司自有合法来源，相关操作将遵循中国法律及香港联交所上市规则的规定。公司表示，开展回购旨在进一步维护公司价值与股东权益，提升股东回报，并优化资本结构。
公告称，回购生效需获得股东大会及类别股东大会特别决议通过。董事会认为，本次回购计划符合公司及股东的整体利益，将在适宜市场环境下采取行动。股东年会及H股类别股东会定于2026年5月22日举行，届时公司H股将于2026年5月19日至5月22日（含首尾两日）暂时停止办理过户登记。董事会提醒投资者关注相关安排，并留意后续公告。
