Cowell Reports 33,000 New Shares from Option Exercises in May; Public Float Remains Compliant

Cowell e Holdings Inc. disclosed in its May 2026 monthly return that 33,000 ordinary shares were issued through employee share-option exercises, lifting total issued share capital to 868.62 million shares from 868.59 million at end-April. The incremental issuance represents a marginal expansion of 0.0038%.

The newly issued shares stemmed from the company’s 2021 Share Option Scheme at an exercise price of HKD 4.144 per share, generating HKD 0.14 million in proceeds. Concurrently, 190,000 options under the same scheme were cancelled, reducing outstanding options under that tranche to 13.06 million. A separate tranche with a HKD 4.84 exercise price remained unchanged at 6.15 million options.

Cowell’s authorised capital stayed constant at 10.00 billion ordinary shares, each with a par value of USD 0.004, equating to authorised share capital of USD 40.00 million. No treasury shares were held or cancelled during the month.

The company confirmed its public float continues to meet the Main Board’s minimum 25% requirement.
