Directel Holdings Limited (DIRECTEL, 08337) has issued a formal notice convening an Extraordinary General Meeting (EGM) for 10:00 a.m. on Friday, 11 September 2026. The session will be held at Office Nos. 1, 2, 14 and 15, 37th Floor, Hong Kong Plaza, 188 Connaught Road West, Hong Kong.

Voting arrangements • Shareholders may appoint the meeting chairman or another individual as proxy. • Completed proxy forms, together with relevant authority documents, must reach the Company’s Hong Kong branch share registrar, Tricor Investor Services Limited (17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong) by 10:00 a.m. on Wednesday, 9 September 2026—48 hours before the EGM. • Joint holders may have any one member vote; if more than one attends, the vote of the first-named shareholder on the register prevails. • Attendance in person overrides any submitted proxy.

Quorum and voting • The proxy form allows shareholders to vote “For” or “Against” the special resolution; in the absence of instructions, proxies may vote or abstain at their discretion. • The proxy holder does not need to be a Company shareholder but must attend the meeting in person to exercise the vote.
