Grace Wine Moves to Align Corporate Charter with New HKEX Rules, Plans Restated Memorandum & Articles

Grace Wine Holdings Limited (Grace Wine) has proposed a comprehensive overhaul of its existing Memorandum and Articles of Association (M&A). According to a 20 March 2026 announcement, the board intends to adopt a third amended and restated M&A that will consolidate all changes into a single document.

The proposed amendments aim to: 1. Incorporate the latest GEM Listing Rules, including provisions for the treasury-share regime and the expanded paperless listing framework. 2. Prepare the company for Hong Kong’s forthcoming uncertificated securities market. 3. Introduce housekeeping revisions that facilitate more efficient corporate administration, notably the ability to hold hybrid or fully virtual shareholder meetings.

Implementation of the new M&A is contingent on shareholder approval via a special resolution at the upcoming annual general meeting. A circular detailing the amendments and the AGM notice will be distributed to shareholders in due course.

The board currently comprises nine directors, with Chairman and CEO Liu Yunqiang leading four executive directors, two non-executive directors, and three independent non-executive directors.
