信能低碳有限公司（股票代码：00145，香港上市）近日在股东周年大会通函中公布，计划建议授予董事一般及无条件授权，以回购不超过公司于股东大会通过当日已发行股份总数10%的股份。截至最近一个可行日期，公司已发行共计366,201,816股，若股东授权获批，则回购上限约为36,620,181股。
根据公告，本次股份回购的资金将来源于公司可合法作此用途的分配利润，符合相关法律法规及上市规则的要求。公司方面表示，实施回购计划有助于提升公司资产净值和每股盈利水平，董事会认为这项授权符合公司及股东的整体利益。
公告显示，信能低碳股份在过去十二个月，于香港联交所的交易价格最高为每股0.630港元，最低为0.147港元。公司同时提醒，若股东周年大会通过授予回购授权，该授权将自决议通过之日起生效，直至下届股东周年大会结束、公司章程细则或香港相关法律规定的期限届满，或直至股东以普通决议案撤回或修订该授权为止。
此外，公司已发布股东周年大会通知，将于2026年6月30日举行该会议，并将于2026年6月25日至2026年6月30日暂停办理股份过户登记，以确定有资格出席并投票的股东。公司呼吁全体股东关注后续信息及尽早办理相关手续。
